Agreement to Terms

By accessing or using the Future Micro platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

Future Micro provides a medical device manufacturing platform that connects Original Equipment Manufacturers (OEMs) with contract manufacturers. Our platform includes:

• Request for Quote (RFQ) management system
• Quality management system (QMS) tools
• Document control and management
• Production tracking and Device History Record (DHR) management
• Supplier management and evaluation
• Compliance reporting and audit trail functionality

Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Violate any applicable regulations, including FDA and international standards
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service's infrastructure
• Share confidential information inappropriately
• Falsify or misrepresent records or documentation

Intellectual Property

The Service and its original content, features, and functionality are owned by Future Micro and are protected by international copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights.

You retain ownership of any content, designs, specifications, or other materials you upload to the platform ("User Content"). By uploading User Content, you grant Future Micro a limited license to store, display, and process such content solely to provide the Service.

Confidentiality

We understand the sensitive nature of medical device development. We agree to:

• Treat your proprietary information as confidential
• Not disclose your information to third parties without authorization
• Implement appropriate security measures
• Require confidentiality agreements from our employees and contractors

Regulatory Compliance

Our platform is designed to support compliance with:

• FDA 21 CFR Part 820 (Quality System Regulation)
• FDA 21 CFR Part 11 (Electronic Records; Electronic Signatures)
• ISO 13485 (Medical Devices Quality Management Systems)
• EU MDR (Medical Device Regulation)

While our tools support regulatory compliance, you remain responsible for ensuring your own compliance with applicable regulations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUTURE MICRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Future Micro does not provide medical, legal, or regulatory advice. Users should consult with qualified professionals regarding specific compliance questions.

Indemnification

You agree to indemnify and hold harmless Future Micro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, you may request a copy of your data in accordance with our data retention policies.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
